Local Courts: If mediation fails, the matter will be referred to the exclusive jurisdiction of the courts in the respective region (QLD, England & Wales, Maharashtra, Karnataka).
From the day one of starting our business in 2011, our preference has always been virtual-first delivery. We would mostly prefer to conduct our training, workshops, consulting, research and innovations virtually. However, at clients' request, when we deliver training, workshops, or research consulting physically at their designated venue, the following regional and operational liability limitations apply:
Venue Safety & Insurance: The client is solely responsible for maintaining a safe physical working environment. The client must maintain comprehensive public liability insurance covering the venue where onsite training or consulting takes place.
Our Liability: Chinmayi Innovations and its representatives will exercise reasonable care during onsite engagements. The client agrees to indemnify, defend, and hold harmless Chinmayi Innovations and its representatives from and against any and all third-party claims, losses, damages, liabilities, and expenses arising out of physical damage to client property or equipment, except to the extent such damage is directly caused by the gross negligence or willful misconduct of Chinmayi Innovations.
Client Equipment: We are not liable for any pre-existing faults in client-provided AV equipment, projectors, or network infrastructure used during training.
Client Cancellation: If the client cancels or postpones a scheduled onsite engagement within fourteen (14) business days of the start date, the client is liable for 50% of the service fee plus 100% of any non-refundable travel, logistics, and accommodation expenses already incurred by the consulting team members of Chinmayi Innovations.
Short-Notice Cancellation: Cancellations made by the client within forty-eight (48) hours of the onsite event will be billed at 100% of the agreed service fee plus all incurred travel costs.
Provider Interruption: If Chinmayi Innovations team must cancel an onsite session due to consultant illness or regional travel restrictions, our liability is strictly limited to offering a virtual delivery alternative or rescheduling the session at no additional cost to the client. We are not liable for client venue hire fees or catering losses.
Force Majeure: Neither party shall be liable for failures or delays in onsite delivery resulting from acts beyond their reasonable control, including severe weather, natural disasters, strikes, or government-mandated lockdowns.
To the maximum extent permitted by applicable law, we exclude all representations, warranties, and conditions relating to our website and its use.
Website Availability: We do not guarantee that the website will remain uninterrupted, error-free, or free of viruses.
Statutory Rights: Nothing in this disclaimer will exclude or limit any warranty implied by law that it would be unlawful to exclude (including the Australian Consumer Law, UK Consumer Rights Act, and Indian Consumer Protection Act).
Damages: We will not be liable for any direct, indirect, or consequential loss or damage arising under these terms and conditions.
